Terms of Service

Editorial note: these proposed B2B terms must be reviewed against the commercial model, service-level agreement, hardware arrangements and applicable data-processing requirements.

1. Provider and application

GraCity Investments, S.L., identified in the Legal Notice, provides data intelligence services to public- and private-sector organisations.

These terms apply where expressly incorporated into an agreement, accepted proposal or order form. Browsing the website does not constitute contractual acceptance.

For public-sector contracts, the applicable procurement documents, contract and mandatory legal requirements will govern.

2. Contracted scope

The relevant contractual documents will identify:

  • Enabled modules and functionality.

  • Included assets, locations and users.

  • Data sources, indicators and update frequency.

  • Integrations and equipment.

  • Deliverables, support and service levels.

  • Fees, duration and termination arrangements.

Functionality described as planned or under development is not included unless expressly agreed.

3. Implementation and subscription

The service may comprise:

  1. Initial implementation: configuration, data integration, asset mapping, installation and agreed checks.

  2. Recurring subscription: access to the platform and contracted functionality.

  3. Additional services: integrations, specialist analysis, fieldwork or other deliverables.

Each component will be priced separately. Fees, applicable taxes, invoicing arrangements and payment deadlines will be specified in the contractual documents.

4. Equipment and installation

Where sensors or other equipment are included, the contract will specify ownership, installation, maintenance, replacement and removal arrangements.

The parties will agree the access, permissions and responsibilities necessary to carry out work safely.

Physical work not included in the agreed scope will not be deemed included in the service.

5. Authorised use

The customer must assign appropriate users and permissions and cooperate in protecting account credentials.

The customer must not use the platform unlawfully, compromise its security or access third-party information without authorisation.

GraCity may take proportionate measures to address a security risk or unlawful use, informing the customer where possible and subject to its contractual obligations.

6. Data, methodology and outputs

Outputs may derive from direct measurements, calculations, models or inferences. Their interpretation depends on the stated sources, resolution, coverage, period, quality and methodology.

Missing data or limited coverage must not be interpreted as the absence of risk.

GraCity will perform the agreed checks and quality obligations and communicate known material limitations.

7. Scope of evidence

Reports and Evidence Packs document the contracted scope and do not, by themselves, constitute independent certification.

Support for BREEAM or other frameworks does not replace the relevant assessor or guarantee certification or full compliance with every requirement.

Savings, environmental benefits and economic valuations will be identified as measured or estimated, as appropriate. GraCity does not guarantee outcomes that have not been expressly agreed and supported by an appropriate methodology.

8. Data rights and intellectual property

The customer retains the rights it holds in the data it provides. It authorises processing only to the extent necessary to deliver the service and for any other expressly agreed purposes.

GraCity retains rights in its platform, software, models and proprietary components, subject to third-party licences.

Rights to use and disclose reports and outputs will be specified in the contract.

Purchasing the service does not, by itself, authorise GraCity to publish confidential customer data, use the customer’s logo or use customer data to train general-purpose models.

9. Confidentiality and data protection

Each party will protect confidential information received from the other and restrict access to those who need it.

Where GraCity processes personal data on behalf of the customer, an appropriate data processing agreement will be entered into before that processing begins.

The agreement will define applicable instructions, security measures, subprocessors, and data return or deletion requirements.

10. Availability, support and changes

Availability, maintenance and response commitments will be specified in the service-level agreement or other contractual documents.

Neither 100% availability nor continuous support is implied.

Material changes affecting the contracted scope will be managed in accordance with the contract, including prior information and any applicable customer options.

Updating this webpage does not unilaterally amend existing contracts.

11. Duration, renewal and termination

Duration, renewal, notice periods and termination grounds will be expressly agreed.

The contractual documents will define data export and provider-switching procedures, formats, assistance, timescales, data return or deletion, and backup handling, in accordance with applicable legal requirements.

Equipment will be removed or returned in accordance with the agreed ownership or rental arrangements.

12. Liability and disputes

Each party is responsible for its obligations under applicable law and the contract.

Any limitation of liability must be expressly agreed and must respect liabilities that cannot lawfully be excluded.

Governing law and jurisdiction will be specified in the contract in accordance with applicable rules, including the specific legal framework governing public-sector contracts.
